Terms of Service

By accessing or using the NexaPay platform operated by FDraft LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you (or the entity you represent) and FDraft LLC. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, notifying you via email. Your continued use of the platform after such changes constitutes acceptance of the updated Terms.

Eligibility: To use NexaPay, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. Our services are available to businesses and individuals in jurisdictions where we are authorized to operate.

Account Registration: You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Business Verification: Corporate accounts require successful completion of our Know Your Business (KYB) process, including submission of corporate documents, beneficial ownership information, and other documentation as required by applicable regulations.

Account Security: You must immediately notify us of any unauthorized use of your account or any other security breach. FDraft LLC will not be liable for any loss resulting from unauthorized use of your account.

FDraft LLC provides the following financial technology services through the NexaPay platform:

Global Payments: Initiation and processing of domestic and international payment transfers via ACH, SWIFT, SEPA, and local payment rails in 180+ countries.

Currency Exchange: Conversion between fiat currencies and, where available, digital assets at rates provided by our liquidity partners.

Virtual Accounts: Issuance of virtual IBANs and local account numbers for receiving payments in multiple currencies.

Card Issuance: Virtual and physical debit card issuance under Visa and Mastercard networks for eligible users.

API Access: Programmatic access to our payment infrastructure via REST API for integration into third-party applications.

Service availability may vary by jurisdiction. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

Fee Schedule: Current fees for all services are available in your account dashboard and on our pricing page. Fees may include transaction fees, currency conversion spreads, monthly account fees, and other charges as applicable.

Fee Changes: We reserve the right to modify our fee structure with 30 days' advance notice. Continued use of the platform after the effective date of fee changes constitutes acceptance of the new fees.

Currency Conversion: Exchange rates are provided at the time of transaction and include a spread. The applicable rate will be displayed before you confirm any conversion.

Refunds: Transaction fees are generally non-refundable. In cases of platform error or unauthorized transactions, please contact support within 60 days of the transaction date.

Taxes: You are responsible for determining and paying all applicable taxes arising from your use of our services. FDraft LLC may be required to withhold or report taxes in certain jurisdictions.

You agree to use NexaPay only for lawful purposes and in accordance with these Terms. You are strictly prohibited from:

Prohibited Activities: - Using the platform for money laundering, terrorist financing, or any other illegal financial activity - Processing payments for prohibited goods or services including but not limited to: illegal drugs, weapons, counterfeit goods, child exploitation material - Circumventing sanctions programs administered by OFAC, EU, UN, or other regulatory bodies - Engaging in fraudulent transactions, chargebacks abuse, or misrepresentation - Attempting to reverse-engineer, hack, or disrupt our platform infrastructure - Using automated bots or scripts to access the platform without prior written authorization - Violating any applicable local, national, or international law or regulation

Violation of this Acceptable Use Policy may result in immediate account suspension, termination, and reporting to relevant authorities.

Processing Times: Transaction processing times vary by payment method, destination country, and regulatory requirements. Estimated processing times are provided at the time of transaction initiation and are not guaranteed.

Transaction Limits: Your account is subject to transaction limits based on your verification level, account history, and applicable regulations. Limits may be adjusted at our discretion.

Transaction Holds: We reserve the right to place holds on transactions for compliance review, fraud prevention, or regulatory requirements. We will notify you of any holds and provide an estimated resolution timeline where possible.

Failed Transactions: If a transaction fails due to insufficient funds, incorrect beneficiary details, or other reasons, we will notify you promptly. Fees may apply to failed transactions in certain circumstances.

Reversals: Once a payment has been processed and settled, it generally cannot be reversed. Please verify all transaction details before confirming.

Our IP: The NexaPay platform, including all software, designs, trademarks, logos, and content, is owned by FDraft LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for its intended purpose.

Your Content: You retain ownership of any content you submit to the platform. By submitting content, you grant FDraft LLC a worldwide, royalty-free license to use, process, and display such content as necessary to provide our services.

API Usage: Use of our API is subject to our API Terms of Use. You may not use our API to build competing products or services without prior written consent.

Feedback: Any feedback, suggestions, or ideas you provide regarding our services may be used by FDraft LLC without any obligation to compensate you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FDRAFT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• ·Any indirect, incidental, special, consequential, or punitive damages
• ·Loss of profits, revenue, data, or business opportunities
• ·Damages resulting from unauthorized access to or alteration of your data
• ·Damages resulting from third-party conduct or services
• ·Any damages exceeding the total fees paid by you to FDraft LLC in the 12 months preceding the claim

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless FDraft LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• ·Your use of the NexaPay platform
• ·Your violation of these Terms
• ·Your violation of any applicable law or regulation
• ·Your infringement of any third-party rights
• ·Any content or information you submit to the platform

By You: You may close your account at any time by contacting our support team. Account closure is subject to settlement of any outstanding transactions and balances.

By Us: FDraft LLC reserves the right to suspend or terminate your account at any time, with or without notice, for: - Violation of these Terms or our Acceptable Use Policy - Suspected fraudulent, illegal, or suspicious activity - Regulatory requirements or legal obligations - Extended periods of account inactivity

Effect of Termination: Upon termination, your right to use the platform ceases immediately. We will process any pending transactions and return available balances, subject to applicable holds and regulatory requirements. Provisions of these Terms that by their nature should survive termination will remain in effect.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which FDraft LLC is incorporated, without regard to conflict of law principles.

Dispute Resolution: Any dispute arising from these Terms or your use of the platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.

Class Action Waiver: You agree to resolve disputes with FDraft LLC on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

Jurisdiction: For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts in FDraft LLC's jurisdiction of incorporation.
